Stacking in MCA: Why Funders Hate It and What It Means for ISOs

What stacking is, why first-position funders fight it, and how brokers think about second- and third-position economics in 2026.

Stacking — funding a merchant who already has an active MCA from another funder — is the most divisive topic in alternative finance. First-position funders consider it a breach of their contract. Second-position funders consider it a viable underwriting category. Brokers sit in the middle and have to make calls deal by deal.

Why first-position funders hate it

When a merchant takes a second MCA, their daily holdback obligation roughly doubles. That increased payment burden materially raises the chance the merchant defaults on both deals. The first-position funder, who underwrote on a single payment stream, now bears the math of a borrower with two stacked obligations.

Most MCA contracts include a no-stacking clause. Violating it can trigger acceleration of the entire balance, lawsuits, and aggressive collections.

Why second-position funders do it anyway

Second-position MCA exists because it's profitable when underwritten correctly. Funders charge higher factor rates, shorter terms, and require strong recent revenue trends. The capital is deployed knowing default rates will be elevated — and priced accordingly.

Where ISOs make money in second-position

  • ▸Identifying merchants whose first-position is mostly paid down (less stack, less default risk)
  • ▸Working with funders who specialize in second-position underwriting
  • ▸Pricing the deal honestly to the merchant — not hiding the cost stack
  • ▸Renewing into a consolidation product when the second-position matures

The reverse consolidation play

When a merchant is overstacked (3+ active MCAs), reverse consolidation can rescue them. The new funder pays off the prior balances and replaces them with a single, longer-term, lower-payment deal. ISOs get paid points on the consolidation amount, the merchant gets cash flow relief, and prior funders get made whole. Done well, this is the most ethical and lucrative play in the stack-heavy segment.
