Reverse Consolidation: How ISOs Save Stacked Merchants (And Get Paid)

The mechanics of reverse consolidation, when it makes sense for the merchant, and how brokers structure the deal to make the math work.

Reverse consolidation is the rescue product for merchants who've stacked themselves into a cash-flow corner. Done right, it's a win for everyone — the merchant gets relief, the new funder takes good paper, the prior funders get paid, and the ISO writes a profitable deal. Done wrong, it just buys time before a default.

The mechanics

A reverse consolidation funder advances enough capital to pay off a merchant's existing MCA stack. The merchant signs a new, single agreement with longer term and lower daily payment. The new funder takes first position. Prior funders get bought out and release their UCC liens.

Unlike a forward consolidation (refinance into one larger deal), the goal of reverse con isn't more capital in the merchant's pocket — it's restructuring existing debt for sustainability.

When it makes sense

  • ▸Merchant has 3+ active MCAs with combined daily payment exceeding 10–15% of average daily revenue
  • ▸Underlying business is healthy — revenue trend is flat or growing, not declining
  • ▸Merchant is current on payments but feeling cash-flow strain
  • ▸Industry is one funders trust (avoid construction prepayment fraud risk, certain restaurant subcategories)

When it doesn't

  • ▸Revenue is in declining trend — kicking the can won't help
  • ▸Merchant has missed payments on existing deals
  • ▸Industry is in a flagged risk category for the funder
  • ▸Owner has personal credit issues that surfaced after the original fundings

ISO economics

Reverse cons typically pay 6–10 points on the consolidation amount, which is often $150K–$500K. A single reverse con can pay $15K–$50K in commission. The deal cycle is longer — 5–14 days from submission to funding — but the dollar size justifies the work.
